Entity: PixPitch operates as a Sole Proprietorship.

Services Provided: PixPitch specializes in Media, Tech, Brand Management, Online Reputation Management (ORM), and Crisis Communication.

Out of Scope: Services expressly do not include the creation or management of investor pitch decks or financial raising materials unless explicitly stated in a separate, signed Statement of Work (SOW).

Independent Contractor: PixPitch operates as an independent entity. Nothing in these terms creates a partnership, joint venture, or employer-employee relationship.

Deposits: All initial deposits, setup fees, and monthly retainer fees are strictly non-refundable to account for reserved capacity and initial resource allocation.

Consumption of Services: All services, consultations, and deliverables are considered fully consumed upon delivery or execution.

Late Payments: Invoices are due upon receipt unless otherwise specified. Failure to remit payment within the agreed-upon window may result in a pause of all active campaigns, asset delivery, and crisis monitoring until the account is brought current.

Notice Period: Either party may terminate the ongoing service agreement by providing a strict 60-day written notice.

Fee Liability: The client remains legally and financially responsible for all standard fees, retainers, and third-party costs scheduled or incurred during this 60-day notice period, regardless of whether they choose to utilize the services during this time.

Immediate Termination for Cause: PixPitch reserves the right to terminate the agreement immediately without notice in cases of breach of contract, non-payment, or hostile client conduct.

Scope Creep: Services are limited to the scope defined in the client's original proposal or SOW. Additional rounds of revisions, sudden strategy pivots, or out-of-scope requests will be billed at a standard hourly or project rate.

Approval Delays: PixPitch is not responsible for project delays caused by a client's failure to provide timely approvals, access to brand accounts, or necessary feedback.

Asset Transfer: All intellectual property rights for final designs, copy, and digital assets transfer to the client only upon the receipt of full and final payment.

Pre-existing Material: PixPitch retains full ownership of any pre-existing frameworks, proprietary tech stacks, or internal processes used to execute the services.

Portfolio Rights: PixPitch retains the perpetual right to display completed, publicly released work and campaign metrics for portfolio, self-promotional, and case study purposes.

Data Security: Both parties agree to maintain the strict confidentiality of any proprietary business information, passwords, and internal crisis communication strategies shared during the course of the partnership.

Best-Efforts Basis: Online Reputation Management (ORM), crisis mitigation, and brand growth services are inherently subjective and reliant on public sentiment. They are provided strictly on a best-efforts basis. Specific metrics, public responses, or financial outcomes cannot be legally guaranteed.

Third-Party Platforms: PixPitch bears no liability for sudden fluctuations, account suspensions, algorithm changes, or policy updates enacted by third-party platforms (e.g., social media networks, search engines) that may negatively impact brand visibility or performance.

Liability Cap: In no event shall PixPitch's total liability for any claim arising out of these services exceed the total amount paid by the client to PixPitch in the three (3) months preceding the claim.

Applicable Law: These terms are governed by, construed, and enforced in accordance with the laws of India.

Jurisdiction: Any legal disputes, claims, or proceedings arising out of or directly related to these services, payments, or terms shall be subject to the exclusive jurisdiction of the competent courts in Delhi.
